FARMIT PARTNERSHIP AGREEMENT
THIS AGREEMENT is made upon the submission of the application form.
BETWEEN:
(1) FARMIT LTD., a company registered in The Republic of Trinidad and Tobago with the number 4623510, whose headquarters address is at 101 Eastern Main Road St Joesph, Trinidad & Tobago (the “First Party” or “The Company”);
(2) The member whose address is shown on the application form (referred to as the "Second Party" or "The Partner");
(each a "Party" and collectively the "Parties").
WHEREAS:
A. The First Party is the development and owner of the FARMIT Technical Solutions Ltd and and all the vertical and horizontal business integration business.
B. The Second Party has expressed interest in becoming a Partner under the terms of this agreement.
NOW, THE PARTIES HEREBY AGREE AS FOLLOWS:
1. Membership Fee: The membership fee, set at $80 USD ($500 TTD), is a one-time, non-refundable payment due upon form submission. Payment options include credit cards, bank transfers, or cryptocurrency. This fee is an annual mandatory membership requirement.
2. Membership Certificate: Upon joining (registering and purchasing FARMTI preferred share), the Partner will receive their Membership & Partnership Certificate, officially recognizing their support for and partnership with FARMIT.
3. Company Listing (for Preferred Partners): If the member is a company, they have the option to be listed in the FARMIT Partners Directory on the FARMIT website, featuring their company logo and information.
4. No Obligations: This Agreement imposes no further obligations on either Party beyond the terms stated herein.
5. Non-Exclusivity: This Agreement does not restrict either Party from engaging in similar partnerships or Membership activities with other entities.
6. Benefits: The Partner is entitled to benefits as outlined on the FARMIT membership page.
7. Modification of Terms: FARMIT reserves the right to modify the terms of this Agreement at any time. Any changes will be communicated to the Partner via their registered email.
8. Limitation of Liability: FARMIT, including its directors, employees, and representatives, shall not be liable for any losses or damages arising from this partnership.
9. Governing Law: This Agreement and any disputes arising from it will be governed by the laws of The Republic of Trinidad & Tobago, with disputes settled through mutual discussions or, if necessary, arbitration in Trinidad and Tobago
10. Entire Agreement: This Agreement constitutes the entire understanding between the Parties, superseding any prior agreements or understandings.
11. Membership Requirement: Partners must register as members of the Universal Financial Capital Membership Club (UFCMC) to participate in FARMIT Projects. The membership fee for UFCMC is $80 USD (equivalent to 500 TTD) refer to item 1.
12:Beneficiary Clause: In the event of a member's passing, their shares can only be transferred to another active member of UFCMC. The designated beneficiary must also be a registered member of UFCMC and a shareholder of FARMIT.
13: Membership Levels and Requirements:
All FARMIT members must:
a. Have a major commitment to sustainable agriculture and food systems.
b. Work with, or act in support of, farmers or ranchers in some manner.
c. Attend FARMIT shareholding/members gatherings to the best of their ability.
d. Demonstrate good will toward other member organizations.
e. Pay UFCMC annual membership dues.
f. To boost FARMIT's visibility, consider sharing a link to their website across various social media platforms such as WhatsApp, Instagram, TikTok, or their official website. This cross-platform approach will help expand FARMIT's reach and promote its offerings to a broader audience.
g. To become a FARMIT partner, one must be a shareholder and demonstrate a commitment to participating in FARMIT's vertical and horizontal investment development portfolio.
IN WITNESS WHEREOF, this Agreement is considered duly executed and effective upon the Second Party's submission of the partnership form.
